Terms of Service

These terms are between you and Metrecept Limited (company number 17422998, registered office 11a Hughenden Road, Clifton, Bristol BS8 2TT) ("Metrecept", "we").

1. Service. Metrecept issues signed, independently verifiable receipts for decisions made by your systems and AI agents. It records and proves decisions; it does not approve, block or grade them.
2. Accounts and keys. You are responsible for your API keys and for all usage under them.
3. Acceptable use. You must not use the service unlawfully, abuse it, infringe anyone's rights, or breach the terms of upstream providers.
4. Fees. Fees are as shown on metrecept.co.uk/pricing or as agreed in writing for a pilot. Invoices are payable within 30 days. Metrecept Limited is not VAT-registered.
5. Receipts and timestamps. Receipts are cryptographic evidence of what passed through Metrecept. Timestamp anchoring relies on third parties (OpenTimestamps calendars and Bitcoin) and may be delayed.
6. Availability. The service is provided on a reasonable-efforts basis unless a service level is agreed in writing.
7. Data. Our Privacy Notice at metrecept.co.uk/privacy applies, and for business customers, a data processing agreement on request. You remain the controller of your data.
8. Liability. Nothing in these terms excludes liability that cannot be excluded by law. Otherwise, our total liability is capped at the fees you paid in the previous 12 months, and we are not liable for indirect or consequential loss.
9. Termination. Either party may terminate on 30 days' written notice. We may suspend an account for breach of these terms.
10. Changes. We will give 30 days' notice of material changes.
11. Law. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
